1. ACCEPTANCE OF TERMS These Terms of Service and Terms and Conditions of Sale ("Terms") govern access to and use of the Versa Solutions website, products, services, quotations, invoices, purchase transactions, and related business activities. By accessing this website, requesting a quote, submitting an order, purchasing products, or otherwise engaging with Versa Solutions ("Company," "we," "us," or "our"), you agree to be bound by these Terms. If you do not agree to these Terms, you should not access the website or purchase products or services from Versa Solutions.
2. COMPANY INFORMATION Versa Solutions is a supplier of janitorial supplies, paper products, industrial supplies, food service products, stretch film and pallet wrap solutions, industrial storage products, and related business supplies. All products, services, pricing, specifications, and availability are subject to change without notice.
3. ORDER ACCEPTANCE All orders are subject to review and acceptance by Versa Solutions. Submission of an order does not constitute acceptance by Versa Solutions. We reserve the right to refuse, cancel, modify, limit, or reject any order at our sole discretion for any lawful reason, including but not limited to product availability, pricing errors, credit concerns, suspected fraud, or compliance issues. An order shall be deemed accepted only when Versa Solutions issues an order confirmation, ships the product, or otherwise confirms acceptance in writing.
4. QUOTATIONS AND PRICING All quotations are non-binding unless expressly stated otherwise in writing. Unless otherwise specified, quotations are valid for thirty (30) days from the date issued. Pricing is subject to change due to manufacturer increases, freight adjustments, tariff changes, supply chain disruptions, fuel surcharges, market fluctuations, or other factors beyond our control. In the event of a pricing error, typographical mistake, product description error, or system malfunction, Versa Solutions reserves the right to cancel or modify any order prior to shipment.
5. PRODUCT AVAILABILITY AND SUBSTITUTIONS Product availability is subject to manufacturer inventory levels and market conditions. Versa Solutions reserves the right to discontinue products or modify product offerings at any time without notice. Where appropriate, we may offer comparable substitute products when original products become unavailable. Customers will be notified when a substitution is proposed. Product specifications, packaging, dimensions, colors, branding, manufacturer formulations, and product designs may change without notice. Customers are responsible for verifying product suitability prior to use.
6. PAYMENT TERMS Payment is due at the time of purchase unless written credit terms have been approved by Versa Solutions. For approved credit accounts, payment shall be due according to the terms established by Versa Solutions, including but not limited to Net 15 and Net 30 payment arrangements. Versa Solutions reserves the right to revoke credit privileges, modify credit limits, require advance payment, suspend shipments, or cancel pending orders at any time based upon payment history, creditworthiness, account status, or other business considerations. Past-due balances may accrue interest at the lesser of: 1.5% per month; or The maximum rate permitted by applicable law. Returned payments, declined transactions, chargebacks, and insufficient funds transactions may be subject to additional fees.
6A. SALES TAX AND TAX EXEMPTION Customer shall be responsible for all applicable sales, use, excise, value-added, gross receipts, or similar taxes imposed by any governmental authority in connection with the purchase of products or services, excluding taxes based on Versa Solutions' net income. Customers claiming tax-exempt status must provide a valid and properly completed tax exemption certificate acceptable to the applicable taxing authority prior to order processing or invoicing. Versa Solutions reserves the right to verify the validity of any exemption documentation submitted. If a customer fails to provide acceptable exemption documentation at the time of purchase, applicable taxes may be charged and collected. If any taxing authority determines that taxes should have been collected on a transaction claimed as exempt, the customer agrees to indemnify and reimburse Versa Solutions for any taxes, penalties, interest, fees, or related costs assessed as a result of the customer's failure to provide valid exemption documentation.
7. COLLECTION COSTS AND ATTORNEY FEES Customer agrees to pay all costs incurred by Versa Solutions in collecting overdue amounts, including but not limited to: Collection agency fees Court costs Reasonable attorney fees Administrative costs Interest charges These obligations survive completion of the transaction.
8. SHIPPING AND DELIVERY Delivery dates are estimates only and are not guaranteed unless expressly agreed to in writing. Unless otherwise specified in writing, Versa Solutions shall arrange transportation and shipping on behalf of the customer. Certain transactions may be sold FOB Destination when specifically stated on the quotation, invoice, or order documentation. Versa Solutions shall not be liable for delays caused by manufacturers, freight carriers, weather events, labor disruptions, supply chain interruptions, governmental actions, or circumstances beyond our reasonable control. Partial shipments may be made unless otherwise agreed. Customers are responsible for providing accurate shipping information and ensuring reasonable access for deliveries.
9. INSPECTION OF SHIPMENTS Customers are responsible for inspecting shipments immediately upon receipt. Visible freight damage, shortages, or delivery discrepancies must be noted on the carrier's delivery receipt at the time of delivery. Claims regarding shipping damage, shortages, or incorrect shipments must be reported to Versa Solutions within five (5) business days of delivery. Failure to provide timely notice may result in denial of claims.
10. RETURNS All returns are governed by the Versa Solutions Return Policy. Return authorization may be required prior to acceptance of any returned merchandise. Products must generally be unused, unopened, and in original packaging unless otherwise approved. Restocking fees may apply. Customers are responsible for return freight costs unless otherwise agreed in writing.
11. CUSTOM PRODUCTS Custom, special-order, made-to-order, private-label, and printed products are non-cancelable and non-returnable unless defective. This includes, but is not limited to: Custom logo stretch film Printed packaging materials Special-order products Private-label products Products manufactured to customer specifications Customers are solely responsible for reviewing and approving all artwork, proofs, designs, logos, colors, dimensions, and specifications before production. Customer approval of artwork, proofs, logos, colors, dimensions, specifications, or production samples shall constitute final acceptance of such materials. Versa Solutions shall not be responsible for errors, omissions, spelling mistakes, design issues, color variations, or other discrepancies approved by the customer prior to production. Minor variations in color, print placement, appearance, dimensions, or manufacturer production tolerances shall not constitute defects.
12. PRODUCT USE AND CUSTOMER RESPONSIBILITY Customers are responsible for determining the suitability of products for their intended use. Products must be used in accordance with: Manufacturer instructions Safety guidelines Applicable laws and regulations Industry standards Versa Solutions does not supervise product use and shall not be responsible for improper installation, misuse, modification, abuse, negligence, or failure to follow manufacturer recommendations.
12A. PERSONAL PROTECTIVE EQUIPMENT DISCLAIMER Personal protective equipment ("PPE"), including nitrile gloves and related safety products, is intended to reduce certain workplace risks when used properly but cannot eliminate all hazards. Versa Solutions makes no representation or warranty that any PPE product will prevent injury, illness, contamination, infection, exposure to chemicals, exposure to hazardous substances, or any other workplace risk. Customers are solely responsible for evaluating product suitability, reviewing manufacturer specifications, and complying with all applicable safety requirements.
12B. CHEMICAL PRODUCTS AND SAFETY COMPLIANCE Customers purchasing cleaning chemicals, disinfectants, degreasers, sanitizers, or other chemical products are responsible for reviewing all Safety Data Sheets (SDS), product labels, manufacturer instructions, and applicable safety information prior to use. Customers shall be solely responsible for the storage, handling, transportation, application, disposal, employee training, and regulatory compliance associated with chemical products. Versa Solutions shall not be liable for injuries, damages, losses, or regulatory violations arising from improper storage, handling, use, transportation, or disposal of chemical products.
12C. PRODUCT RECOMMENDATIONS DISCLAIMER Any recommendations, guidance, product selections, sizing suggestions, application advice, packaging recommendations, load containment guidance, procurement assistance, or other information provided by Versa Solutions are offered as general information only. Customers remain solely responsible for determining whether a product is suitable for their intended application, operating environment, regulatory requirements, performance expectations, and business needs. No recommendation or guidance provided by Versa Solutions shall create any warranty, guarantee, or assumption of liability regarding product performance or suitability.
13. WARRANTY DISCLAIMER Except as expressly stated by the manufacturer, all products and services are provided "AS IS" and "AS AVAILABLE." Versa Solutions disclaims all warranties, whether express or implied, including but not limited to: Merchantability Fitness for a particular purpose Non-infringement Accuracy of information Product performance beyond manufacturer specifications Manufacturer warranties, if any, are the sole responsibility of the manufacturer.
14. LIMITATION OF LIABILITY To the maximum extent permitted by law, Versa Solutions shall not be liable for: Lost profits Lost revenue Business interruption Loss of use Loss of goodwill Loss of data Consequential damages Incidental damages Special damages Punitive damages Customer's exclusive remedy for any claim relating to products or services provided by Versa Solutions shall be limited to replacement of the product, refund of the purchase price, or repair of the product, at Versa Solutions' sole discretion. In no event shall Versa Solutions' total liability arising from any claim exceed the amount paid by the customer for the specific product giving rise to the claim.
15. INDEMNIFICATION Customer agrees to defend, indemnify, and hold harmless Versa Solutions, its owners, officers, employees, agents, affiliates, and representatives from any claims, damages, losses, liabilities, costs, or expenses, including reasonable attorney fees, arising out of: Customer's misuse of products Customer's violation of these Terms Customer's negligence Customer's violation of law Customer-approved custom product content 16. WEBSITE USE Users may not use the website: For unlawful purposes To transmit malicious code To interfere with website functionality To scrape, copy, or reproduce content without permission To infringe intellectual property rights Versa Solutions reserves the right to restrict or terminate access to the website at any time.
17. INTELLECTUAL PROPERTY All website content, logos, trademarks, graphics, photographs, text, product descriptions, and other materials are the property of Versa Solutions or its licensors and may not be copied, reproduced, distributed, or used without prior written permission.
18. FORCE MAJEURE Versa Solutions shall not be liable for failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to: Natural disasters Weather events Fire Flood Pandemic Epidemic Labor disputes Supply chain disruptions Transportation interruptions Government actions Material shortages Utility failures Performance obligations shall be suspended during the duration of such events.
19. GOVERNING LAW AND VENUE These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to conflict of law principles. Any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located within the State of Connecticut. Customer consents to the jurisdiction of such courts.
20. SEVERABILITY If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.
21. ENTIRE AGREEMENT These Terms, together with any applicable policies published by Versa Solutions, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior communications, understandings, and agreements.
22. MODIFICATIONS Versa Solutions reserves the right to modify these Terms at any time by posting updated Terms on its website. Continued use of the website, products, or services after such modifications constitutes acceptance of the revised Terms.
